Terms and Conditions for Directory Listing

By submitting your business or service for inclusion in Independent Publishing Services Directory (the "Directory"), you agree to the following terms and conditions ("Terms"). These Terms constitute a legally binding agreement between you ("Service Provider," "you," or "your") and BLK & Company LLC ("Company," "we," "us," or "our").

1. Eligibility

To be eligible for inclusion in the Directory, your business must provide services relevant to self-publishing authors, such as editing, proofreading, cover design, marketing, audiobook production, etc.
You must provide accurate and truthful information during the submission process. Misrepresentation or falsification of information may result in the removal of your listing.

2. Submission Process

All submissions are subject to review and approval by our team. We reserve the right to accept or reject any submission at our sole discretion.
If accepted, your business will be listed in the appropriate category within the Directory.
You may be required to provide additional information or documentation to verify your services and credentials.

3. Accuracy of Information

You are responsible for ensuring that all information provided in your submission, including business details, service descriptions, contact information, and any uploaded files, is accurate and up to date.
If any of your information changes, you must notify us promptly to update your listing.

4. Content Ownership and Usage

By submitting your information to the Directory, you grant us a non-exclusive, royalty-free, worldwide license to use, reproduce, distribute, and display the content you provide in connection with the Directory.
You affirm that you own or have the necessary permissions to use any logos, images, or content submitted as part of your listing.

5. Listing Fees

The introductory listing fee for the first year is $30. Starting in the second year, the listing fee will increase to $60 per year.
The initial payment of $30 is due at the time the directory agreement form is signed and executed. This payment secures your listing in the Directory for one year from the date of approval.
The listing fee covers a standard listing, which includes your business name, contact information, a description of services offered, and a link to your website.
Failure to pay the listing fee on time may result in the removal of your listing from the Directory.

6. Termination and Removal

We reserve the right to remove or suspend your listing at any time, without notice, if we determine that you have violated these Terms, provided inaccurate information, or engaged in conduct that we consider harmful to the Directory or its users.
You may request the removal of your listing at any time by contacting us at resources@blkandcompany.com. We will process your request within 5 business days.

7. Disclaimer and Limitation of Liability

The Directory is provided "as-is" and "as available." We do not guarantee any specific results from being listed in the Directory, including increased business or client inquiries.
We disclaim all warranties, express or implied, including, but not limited to, the implied warranties of merchantability and fitness for a particular purpose.
In no event shall we be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or in connection with your listing in the Directory.

8. Indemnification

You agree to indemnify, defend, and hold harmless BLK & Company LLC, its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, or expenses, including reasonable attorneys' fees and costs, arising out of or in any way connected with your listing in the Directory or your breach of these Terms.

9. Changes to Terms

We may update or modify these Terms at any time. Any changes will be effective upon posting on our website. Your continued listing in the Directory after the changes have been posted will constitute your acceptance of the updated Terms.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Texas, without regard to its conflict of laws principles.
